1. Acceptance of Terms

By accessing or using PayConnect ("Service"), you ("Merchant", "User" or "Customer") agree to be bound by these Terms & Conditions, our Privacy Policy, and all applicable laws and regulations.

If you do not agree with any part of these terms, you may not use our Service. These terms apply to all visitors, users, and others who access or use the Service.

2. Service Description

PayConnect provides payment processing services including but not limited to:

• Credit/debit card processing
• Bank transfers and direct debits
• Digital wallet payments
• Recurring billing solutions
• Fraud detection and prevention

We reserve the right to modify or discontinue the Service (or any part of it) with or without notice at any time.

3. Merchant Responsibilities

As a PayConnect merchant, you agree to:

• Provide accurate and complete business information
• Maintain the security of your account credentials
• Comply with all applicable laws and card network rules
• Obtain proper customer authorization for all transactions
• Maintain PCI DSS compliance if handling card data

3.1 Compliance Requirements

You must comply with all applicable laws including but not limited to anti-money laundering (AML), know-your-customer (KYC), and data protection regulations (GDPR, CCPA, etc.).

4. Fees & Payments

Our fee structure includes:

• Transaction fees: Percentage and/or fixed amount per transaction
• Monthly fees: For premium features and higher volume accounts
• Chargeback fees: Applied for disputed transactions
• Cross-border fees: For international transactions

4.1 Settlement

Funds will be settled to your designated bank account according to your selected settlement schedule (daily, weekly, or monthly).

We reserve the right to withhold funds or require reserves in cases of high chargeback risk or suspected fraudulent activity.

5. Prohibited Activities

You may not use PayConnect for:

• Illegal activities or regulated businesses without proper licensing
• Adult content, gambling, or drug-related transactions
• Money laundering or terrorist financing
• Fraudulent or high-risk transactions
• Circumventing our security measures

5.1 Restricted Industries

Certain industries require pre-approval and may be subject to additional fees or restrictions. Contact us for our complete prohibited and restricted business list.

6. Dispute Resolution & Chargebacks

For disputed transactions:

• You are responsible for providing evidence to support legitimate transactions
• We may withhold funds during dispute resolution
• Excessive chargebacks may result in account termination

6.1 Refund Policy

You must maintain and disclose your own refund policy to customers. We will process refunds as instructed by you, subject to available funds in your account.

7. Termination

Either party may terminate this agreement with 30 days written notice. We may suspend or terminate your account immediately if:

• You violate these terms
• We detect fraudulent activity
• Required by law or card networks

Upon termination, you must cease all use of the Service and we will settle any remaining funds after deducting applicable fees and chargeback reserves.

8. Liability & Disclaimers

Limitation of Liability: PayConnect shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Service.

Service Availability: We do not guarantee uninterrupted or error-free service and are not liable for downtime or technical issues.

No Warranty: The Service is provided "as is" without warranty of any kind, either express or implied.

9. Changes to Terms

We may modify these terms at any time. We will notify you of significant changes via email or through our Service.

Your continued use of the Service after changes become effective constitutes acceptance of the revised terms.
